Thalos Capital Corporation is a corporation incorporated in Ontario, Canada. It operates as a commercial finance origination and strategic advisory firm that works on the borrower's side, providing financing advisory, structuring support, and execution for businesses in Canada and the United States, with the exception of California, Nevada, New York, and Quebec, which Thalos Capital does not currently serve.
2. What Thalos Capital is not
Thalos Capital is not a bank, deposit-taking institution, or lender, and does not lend its own capital. Thalos Capital does not raise capital, offer, sell, or solicit securities, and does not operate, sponsor, or manage any fund, pooled investment vehicle, or special-purpose vehicle. Thalos Capital does not provide investment advisory, portfolio management, securities dealing, or fund management services, and does not provide legal, tax, or accounting advice.
3. Financing is provided by third parties
Financing referenced on the Site is provided by independent third-party capital sources. Any financing is subject to those sources’ own underwriting, eligibility, pricing, documentation, approval, and closing conditions. Thalos Capital does not guarantee that financing will be available, approved, or offered on any particular terms, and references to financing ranges, structures, timelines, or sectors are illustrative and not a commitment or offer.
4. No offer; no advice
Nothing on the Site or in our materials constitutes an offer, solicitation, or recommendation to enter into any financing or transaction, or an offer or solicitation of securities, in any jurisdiction. Information is general in nature and does not take account of your specific objectives or circumstances. You should obtain independent professional advice before acting.
5. How Thalos Capital is compensated
Thalos Capital is compensated in more than one way, depending on the engagement: through advisory or engagement fees agreed directly with a client for the work we perform, and through compensation from the capital source when a financing transaction is funded. The applicable arrangement is set out in the engagement terms for each matter. This compensation does not change our commitment to advising in the client's interest and identifying suitable financing from across our network, and we are not bound to any single capital source. Where a financing provider is required to disclose the amount it pays to Thalos Capital, that disclosure is made by the provider as part of its financing offer.
6. Licensing and regulated activities
Thalos Capital provides its services in compliance with applicable law. Certain financing activities are regulated and may require licensing or registration in some jurisdictions. Where an activity requires a licence, registration, or exemption, that activity is conducted only by appropriately licensed or exempt parties, which may include the applicable third-party capital source or a licensed intermediary. Thalos Capital does not hold itself out as licensed to conduct any regulated activity for which it is not licensed or exempt.

Any statements regarding outcomes, timelines, or benefits reflect general expectations and are not guarantees. Actual results depend on factors outside Thalos Capital’s control, including third-party decisions and market conditions.
8. Jurisdiction
